Terms of Service

Welcome to GiborAI ("Company", "we", "our", "us"). These Terms of Service ("Terms") govern your access to and use of the GiborAI platform, website, and all related software-as-a-service (SaaS) products (collectively, the "Service"), operated by GiborAI.

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Service. These Terms apply to all visitors, users, and others who access or use the Service.

• "Platform" means the GiborAI website and all SaaS products offered by GiborAI.
• "Customer" or "You" means the business or individual accessing or using the Service.
• "User" means any individual authorized by the Customer to access the Service.
• "Data" means any information, content, or materials submitted by the Customer or Users through the Service.
• "Subscription" means the paid plan under which the Customer accesses the Service.
• "GDPR" means the General Data Protection Regulation (EU) 2016/679.

When you create an account with us, you must provide accurate, complete, and current information. Failure to do so constitutes a breach of the Terms.

You are responsible for safeguarding the password used to access the Service and for any activities or actions under your password. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

You may not use as a username the name of another person or entity, or that is not lawfully available for use without appropriate authorization.

Some parts of the Service are billed on a subscription basis. You will be billed in advance on a recurring and periodic basis ("Billing Cycle"). Billing cycles are set either on a monthly or annual basis, depending on the subscription plan you select.

At the end of each Billing Cycle, your Subscription will automatically renew under the same conditions unless you cancel it or GiborAI cancels it. You may cancel your Subscription renewal either through your online account management page or by contacting GiborAI customer support.

All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities, and you shall be responsible for payment of all such taxes, levies, or duties.

5.1 Your Data: You retain all rights, title, and interest in and to the Data you submit to the Service. GiborAI does not claim ownership of your Data.

5.2 License to GiborAI: By submitting Data to the Service, you grant GiborAI a worldwide, non-exclusive, royalty-free license to use, process, store, and display your Data solely to provide and improve the Service.

5.3 Data Processing: GiborAI acts as a Data Processor under GDPR when processing personal data on behalf of Customers (who act as Data Controllers). We process data strictly according to your instructions and our Data Processing Agreement.

5.4 Data Storage: All customer data is stored on secure infrastructure compliant with GDPR and applicable data protection laws. Data centers are located within the EU/EEA or in jurisdictions with adequate protection standards.

5.5 Data Security: We implement appropriate technical and organizational measures to protect your Data against unauthorized access, alteration, disclosure, or destruction, including encryption in transit (TLS) and at rest.

GiborAI is committed to compliance with the General Data Protection Regulation (GDPR). As a Customer and Data Controller, you have the following rights regarding personal data:

• Right of Access: You may request a copy of the personal data we hold about you.
• Right to Rectification: You may request correction of inaccurate personal data.
• Right to Erasure: You may request deletion of your personal data ("Right to be Forgotten").
• Right to Data Portability: You may request transfer of your data in a machine-readable format.
• Right to Restrict Processing: You may request restriction of processing your personal data.
• Right to Object: You may object to processing of your personal data in certain circumstances.

GiborAI will not transfer personal data to third countries outside the EU/EEA without appropriate safeguards (e.g., Standard Contractual Clauses).

You agree not to use the Service to:

• Violate any applicable laws or regulations.
• Infringe the intellectual property rights of any third party.
• Transmit any harmful, offensive, or malicious content.
• Attempt to gain unauthorized access to the Service or its related systems.
• Use the Service to send unsolicited communications (spam).
• Introduce viruses, trojans, worms, or other malicious code.
• Reverse engineer, decompile, or disassemble any portion of the Service.
• Resell or sublicense access to the Service without prior written consent.

GiborAI reserves the right to suspend or terminate your access to the Service immediately if you violate this policy.

The Service and its original content (excluding Customer Data), features, and functionality are and will remain the exclusive property of GiborAI and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without prior written consent of GiborAI.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business purposes during the Subscription term.

GiborAI strives to maintain a 99.9% monthly uptime for the Service. Scheduled maintenance windows will be communicated at least 48 hours in advance where possible.

In the event of extended downtime beyond our SLA commitments, you may be eligible for service credits as detailed in your specific subscription agreement. GiborAI is not liable for downtime caused by factors outside our reasonable control (force majeure).

To the maximum extent permitted by applicable law, GiborAI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with these Terms or the use of the Service.

GiborAI's total liability to you for any claim arising out of or related to these Terms or the Service shall not exceed the amount paid by you to GiborAI in the twelve (12) months preceding the claim.

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including if you breach the Terms.

Upon termination, your right to use the Service will immediately cease. You may request an export of your Data within 30 days of termination. After that period, GiborAI may delete your Data in accordance with our data retention policy.

You may cancel your account at any time through your account settings. Cancellation takes effect at the end of the current billing period.

We reserve the right to modify these Terms at any time. We will provide at least 30 days' notice before material changes take effect by posting the new Terms on this page and notifying you via email.

Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Service.

These Terms shall be governed by and construed in accordance with applicable laws. Any disputes arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration or the courts of competent jurisdiction.

For EU/EEA users, you retain the right to bring claims before the competent data protection authority in your country of residence.
